Terms of Service

1. Acceptance of Terms

By accessing or using any VersaSuite product, including VersaCharts, VersaTrader, VersaScanner, VersaDash, VersaBot, and VersaLog (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Some features of VersaCharts are available without creating an account (guest mode). By using guest mode, you still agree to these Terms.

2. About VersaSuite

VersaSuite is built and operated by Darren Lim, a sole proprietor based in Kuala Lumpur, Malaysia. VersaSuite is a software product. It is not a financial institution, broker, exchange, or investment adviser.

When these Terms say "VersaSuite", "I", "me", or "my", they refer to Darren Lim. When they say "you" or "your", they refer to you, the user.

3. Description of Service

VersaSuite provides cryptocurrency charting, analysis, portfolio tracking, and trading tools. You can connect your own exchange accounts via API keys to view balances and place trades from within the interface.

VersaSuite is a technology tool, not a financial service. I do not hold your funds, execute trades on my infrastructure, or act as an intermediary between you and any exchange. All orders are sent directly to the exchange you connect.

4. Not Financial Advice

Nothing in VersaSuite constitutes financial, investment, or trading advice. Any charts, indicators, signals, scanners, or analytics provided by the Service are for informational purposes only.

Trading cryptocurrency involves substantial risk of loss. You could lose some or all of your capital. Past performance does not guarantee future results. You are solely responsible for your own trading decisions.

If you need financial advice, consult a qualified professional.

5. Eligibility

You must be at least 18 years old to use the Service. By using VersaSuite, you confirm that you meet this requirement.

You may not use the Service if you are located in, or a citizen or resident of, any country or territory subject to comprehensive sanctions by the United States (OFAC), the European Union, or the United Nations. This includes, but is not limited to: North Korea, Iran, Cuba, Syria, and the Crimea, Donetsk, and Luhansk regions. I reserve the right to update this list as sanctions programmes change.

By using the Service, you represent that you are not on any government sanctions list and are not acting on behalf of a sanctioned person or entity.

6. User Accounts

To access certain features, you need to create an account with a valid email address and password. You are responsible for keeping your credentials secure. One account per person.

I may suspend or terminate your account if you violate these Terms, engage in abusive behaviour, or use the Service in a way that harms other users or the infrastructure.

7. Exchange API Keys

VersaSuite allows you to connect your exchange accounts (e.g. Binance, Bybit, OKX, KuCoin, and others) using API keys that you generate on the exchange's platform.

Important:

  • Only connect API keys with read and trade permissions. Never enable withdrawal permissions.
  • Your API keys are encrypted at rest on my servers. I cannot and do not withdraw funds from your exchange accounts.
  • VersaSuite is not responsible for any actions taken by the exchange, including but not limited to: exchange downtime, API changes, order execution failures, liquidations, or account restrictions.
  • You are responsible for complying with your exchange's terms of service when using third-party API access.

8. Payments and Subscriptions

VersaSuite offers free tiers and paid Pro subscriptions. All prices are listed in USD. Payments are accepted in cryptocurrency only (USDT or USDC on supported networks).

How it works: When you subscribe, you are given a unique deposit address. Once your payment is confirmed on-chain, your subscription is activated automatically.

No credit card required. There is no auto-renewal. When your subscription period ends, you can choose to renew by making a new payment. Your account reverts to the free tier if you do not renew.

Refund policy: Cryptocurrency transactions are irreversible by nature. Refunds are not available by default. If you believe you are entitled to a refund due to a significant service issue, contact me at [email protected] and I will review your case. Any refund granted is at my sole discretion and will be processed in the same cryptocurrency as the original payment.

EU users: By making a payment, you expressly request immediate access to the Service and acknowledge that you waive the 14-day withdrawal right under the EU Consumer Rights Directive once your subscription is activated.

9. Free Tier and Guest Mode

Certain features of VersaCharts are available in guest mode without creating an account. No credit card or payment information is required. Guest mode data (such as chart layouts) is stored locally in your browser and is not backed up on my servers.

Free tier features may change over time. I reserve the right to modify what is included in the free tier.

10. Licence Codes

VersaSuite may distribute licence codes ("Lite codes") that unlock additional features at no cost. These codes are personal, non-transferable, and may have an expiration date. I reserve the right to revoke codes that are shared, resold, or abused.

11. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or the underlying systems and infrastructure.
  • Interfere with or disrupt the Service, including by introducing malware, overloading servers, or scraping data at scale.
  • Use the Service to manipulate markets, engage in wash trading, or conduct any form of market abuse.
  • Reverse-engineer, decompile, or create derivative works of the Service.
  • Resell, sublicense, or commercially redistribute access to the Service without my written permission.
  • Circumvent any access controls, rate limits, or security measures.

12. Intellectual Property

All content, code, designs, and trademarks associated with VersaSuite (including the VersaCharts, VersaTrader, VersaScanner, VersaDash, VersaBot, and VersaLog names and logos) are my property or are used under licence. You may not use them without my written permission.

Your data (watchlists, chart layouts, settings, trade history) remains yours. I do not claim ownership of your data.

13. Availability and Uptime

I do my best to keep the Service running smoothly, but I do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond my control.

Cryptocurrency markets operate 24/7. I am not liable for any trading losses, missed opportunities, or other damages that occur during periods of downtime or degraded performance.

14. Third-Party Services

VersaSuite connects to third-party services, including cryptocurrency exchanges and market data providers. I do not control these services and am not responsible for their availability, accuracy, or actions.

Your use of third-party exchanges through VersaSuite is governed by those exchanges' own terms of service. You are responsible for reading and agreeing to those terms.

15. Data and Privacy

Your privacy matters. Here is what you should know:

  • VersaSuite is hosted on servers in Singapore (Linode/Akamai).
  • I collect only the data necessary to provide the Service: your email, hashed password, subscription status, and usage data for improving the product.
  • I do not sell, rent, or share your personal data with third parties for marketing purposes.
  • I do not use Google Analytics, Google Fonts, or any Google services in the frontend.
  • Exchange API keys are encrypted at rest.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • I am not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to: trading losses, loss of profits, loss of data, or business interruption.
  • My total liability to you for any claim arising from or related to the Service is limited to the amount you have paid to VersaSuite in the 12 months preceding the claim, or $100, whichever is greater.
  • I am not liable for any losses caused by exchange outages, API failures, incorrect market data, network congestion, blockchain delays, or any other event outside my reasonable control.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, my liability is limited to the fullest extent permitted by law.

17. Indemnification

You agree to indemnify and hold me harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

18. Account Termination

You may delete your account at any time. Upon deletion, your personal data will be removed from my servers in accordance with the Privacy Policy.

I may suspend or terminate your account, with or without notice, if you violate these Terms or if I reasonably believe your use of the Service poses a risk to other users or the infrastructure. If your account is terminated for abuse, no refund will be issued for any remaining subscription period.

19. Changes to These Terms

I may update these Terms from time to time. When I make significant changes, I will notify you by email (if you have an account) or by posting a notice on the site at least 30 days before the changes take effect.

Continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you should stop using the Service and delete your account.

20. Governing Law and Disputes

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or the Service shall be resolved through good-faith negotiation first. If we cannot resolve the dispute informally, it shall be submitted to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

You agree to waive any right to participate in a class action or class-wide arbitration against VersaSuite.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force.

22. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VersaSuite regarding your use of the Service.
